Terms of Use

 

Users

 

  • Usage and registration is free for all Users and there are no subsequent fees for Users:
  • Users must be registered to use the Leading Locally app;
  • Users may elect or be prompted to be registered to enable features on the Leading Locally website.
  • Users can use the crowdsourcing and social forum features on Leading Locally to:
  • add or remove Points-of-Sale;
  • add or remove Tags to Businesses and Brands;
  • add or remove Brand Tags to Businesses and Brands;
  • add or remove Media to Businesses and Brands;
  • add or remove Contact to Businesses and Brands;
  • add or remove Content to Businesses and Brands.
  • Users warrant that, and accept full responsibility for:
  • all such crowdsourcing and social forum feature use will not be libellous, profane or untrue;
  • no social crowdsourcing or social forum feature information will be used for any form of related or unrelated marketing by the User;
  • all submitted Media is either owned by the Users, or that Users have the right of use.
  • Users grant the Operator a transferable and royalty-free right to use any Media or Content for online and off-line advertising of Leading Locally, Businesses and Brands and/or the Operator.
  • Users agree to be classified as Customers of a Business or Brand where applicable.
  • Any interation between User or Customers with Businesses or Brands are subject to availability and terms set by Businesses and Brands.
  • All purchase and sale agreements for Products and Services, whether resulting from Leading Locally or not, are solely between Businesses and/or Brands, acting as sellers, and Users, acting as buyers.

 

Businesses

 

  • Businesses are listed in Leading Locally by the Businesses, by Users, by Brands, or by Leading Locally.
  • Businesses are subject to the Business Terms of Use.

 

Brands

 

  • Brands are listed in Leading Locally by Brands, Users, Businesses, or Leading Locally.
  • Brands are subject to the Brands Terms of Use.

  • These Terms of Use incorporate:
    • Definitions;
    • Privacy Policy;
    • Website Rules;
    • DMCA Notice;
    • Leading Locally Cookie Policy.
  • The Operator accepts no responsibility for the information on Leading Locally being correct.
  • The Operator accepts no liability for any damages that may be caused by the use of the application and/or website or its contents or by data or files sent and received howsoever arising. Users are themselves responsible for checking all data sent or received via the Internet for viruses and malware, including web addresses provided.
  • The Operator is not a party to any contract between the buyer and seller. The Operator accepts no responsibility for checking that Businesses exist or able to provide the Products or Services listed. The Operator has no responsibility and no liability for any direct or indirect problems arising in connection with the provision of Products or Services.
  • The Operator reserves the right to temporarily or permanently suspend or cancel any account in the event of wrongdoing. Users whose accounts have been suspended or cancelled can no longer access Leading Locally.
  • These Terms of Use are construed under the laws of England and Wales and the parties agreed to the sole jurisdiction of the Cambridge County Court, Cambridge, England.
  • If any provision in these Terms of Use is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision shall, to the extent required, be severed from the Terms of Use and rendered ineffective as far as possible without modifying the remaining provisions of the Terms of Use and shall not in any way affect any other circumstances of or the validity or enforcement of the Terms of Use.
  • The Operator reserves the right to amend these Terms of Use at any time. The latest Terms of Use are available in the App and on the Site.
  • Users agree to the latest Terms of Use by using Leading Locally after the date of any amendment of these Terms of Use.

Definitions

 

  • “Leading Locally” is this mobile device application and website.
  • “Operator” is Leading Locally Ltd, 9 Kensington Road, Douglas, IM1 3ER, Isle of Man, British Isles, the operator and owner of the Leading Locally app and website.
  • “User” or “Users” are registered and unregistered non-Business and non-Brand users who wish to use the discovery, crowdsourcing and social forum features of Leading Locally.
  • “Business” or “Businesses” are businesses and individuals which can be discovered by Users on Leading Locally, including service providers, retailers, traders and direct-to-consumer selling manufacturers and agents.
  • “Brand” or “Brands” are manufacturers of products and/or providers of services that can be discovered by Users on Leading Locally.
  • “Customer” or “Customers” are Users who have established a direct relationship:
    • with a Business by favouriting, endorsing, reviewing, messaging, adding, adding Tags, Brand Tags or Media to Businesses on Leading Locally;
    • with a Businesses by being added and/or invited as a Customer by the Business on Leading Locally;
    • with a Brand by favouriting, endorsing, reviewing, adding, messaging, adding Tags, Brand Tags, Points-of-Sale or Media to Businesses on Leading Locally;
    • with a Brand by being added and/or invited as a Customer by the Brand on Leading Locally;
  • “Team Member” or “Team” are Users who signed up to manage and/or act on behalf of Businesses and Brands on Leading Locally:
    • a Team Member can be an employee, agent, consultant, or third party consultant, such as media agency, advertising agency, digital agency or creative agency;
    • a Team Member is approved by the Team for the same Business or Brand, and is verified by the Businesses and Brands;
    • a Team Member acting on behalf of Businesses is subject the Business Terms of Use;
    • a Team Member acting on behalf of Brands is subject the Brand Terms of Use.
  • “Point-of-sales” or “Points-of-Sale” are:
    • Businesses where specified Brands (or Brand-owned Products or Services) are available for purchase, hire or use by Users;
    • Businesses which are customers of Brands, and use the Brand (or Brand-owned Products or Services) in the making or provision of the Business-owned Products or Services, which are available for purchase, hire or use by Users.
  • “Retail Chain” or “Retail Chains” are:
    • a company or Brand with multiple Points-of-Sale comprising Businesses owned, branded and/or controlled by the company within a Market;
    • subject to the Business Terms of Use and Brands Terms of Use.
  • “Tag” or “Tags” are generic descriptive search and discovery terms used by Users to find Points-of-Sale for Tags. Tags are proposed and added to Leading Locally by Users, Businesses, Brands and Leading Locally. All new Tags (new words or terms) must be approved by Leading Locally.
  • “Brand Tags” or “Brand Tags” are proprietary search and discovery terms used by Users to find Points-of-Sale for Brands and Brand Tags. Brand Tags are brand names, trademarks, marketing lines, model names and similar. Brand Tags are owned and controlled by Brands. Brand Tags are proposed and added to Leading Locally by Users, Businesses, Brands and Leading Locally. All new Brand Tags (new words or terms) must be approved by Leading Locally. They are exclusively controlled by the Brands and Brands can approve, deny, add or remove Brand Tags from Businesses and Brands.
  • “Media” are photos, images, documents and videos added to Business and Brands by Users.
  • “Contact” are:
    • contact details for a Business or a Brand, including, but not limited to, phone number, website, email, fax number;
    • social media details for a Business or a Brand, including, but not limited to, Facebook, Twitter, LinkedIn, Pinterest, Snapchat, Google+, added to Businesses and Brands by Users.
  • “Content” are reviews, ratings and endorsements added to Businesses and Brands by Users.
  • “Market” or “Markets” are individual countries or territories where Leading Locally is available:
    • Users, Team Members and Brands can use their account in multiple Markets;
    • Businesses and Retail Chains can only operate in one Market each. If they operate is multiple Markets each will count as a separate Business or Retail Chain.
  • “Campaign” or “Campaigns” are targeted information and marketing owned by Brands shown on Brand profiles and Point-of-Sale profiles.
